Campaign Terms

By purchasing a spot in the InspiredCircle LLC giveaway, participant agrees to the campaign terms outlined below.

This agreement (the "Agreement") is entered into between the participant ("Receiving Party") and InspiredCircle LLC ("InspiredCircle"). The Receiving Party has purchased a spot in InspiredCircle's upcoming marketing campaign as detailed herein.

1. Campaign Details (the "Campaign"):

Campaign Host: InspiredCircle (Instagram: @inspiredcircle or for UK campaigns, @inspiredcircleuk)

Prize: $1,500 USD of prizes (prize or number of winners may be adjusted at InspiredCircle's discretion)

Commencement Date: TBA (date may be adjusted at InspiredCircle’s discretion to ensure capacity or best timing)

  • Content will be posted on Muslim Influencer partners Instagram's on or after the commencement date. Followers will be directed to the tagged campaign host account to enter the giveaway.

  • The campaign host account will be following the Receiving Party, together with a range of other businesses and individuals taking part in this promotion (up to 35).

  • As part of the entry criteria, entrants will be required to follow all businesses/individuals the campaign host account is following.

  • The Receiving Party confirms that they have not been promised any brand or product exclusivity and acknowledges that businesses of a similar nature to it may also be included in this campaign.

2. Posting Requirements

  • Unless you have purchased a non-posting spot, posting to your Instagram feed twice is required in order to participate in this campaign. InspiredCircle will provide the Receiving Party with two approved images and caption wordings (the "Posts") along with posting times and instructions.

  • The Receiving Party will not post to their feed for 24 hours following their two campaign Posts.

  • To avoid confusing viewers, Receiving Party agrees to not run or promote any other giveaways or competitions via Instagram for the duration of the Campaign unless authorized by InspiredCircle.

  • For the duration of this campaign, the Receiving Party is able to post to their feed and stories as normal, including sales and promotional offers (with the exception of giveaways as noted above).

  • If you are purchasing a non-posting spot you and are not required to post about the campaign in your Instagram feed or stories. If you do decide to post on your social media, we are unable to refund or compensate you for any non-posting fee or upcharge.

3. Interruption of Campaign

  • In the unlikely event that the Campaign is interrupted for any reason or a scheduled influencer partner is unable to post, InspiredCircle will continue to utilize best practice strategies and industry knowledge to deliver campaign results including options of extending the duration proportionate to the outage time or posting of the campaign by an additional Muslim influencer, unless satisfactory results have already been gained by the participants. Any decision in this regard is completely at the sole discretion of InspiredCircle.

  • In the event of a campaign interruption or cancellation as referred to in this clause, the Receiving Party agrees that an extension of the campaign duration or posting by an additional Muslim influencer will be an appropriate remedy and readily and accepts that no further compensation or refund will be offered to the Receiving Party.

4. Cooperation, Limitation of Liability, and Class Action Waiver

The Receiving Party acknowledges and agrees that:

  • The total cumulative liability of InspiredCircle in connection with this Agreement and the promotion will not exceed the amount of any payments actually received by InspiredCircle from the Receiving Party under this Agreement in the one-year period immediately preceding the event giving rise to the liability, under any legal theory and including any type of damages, such as direct, indirect, consequential, incidental, punitive, special, or exemplary damages.

  • Each of the Receiving Party and InspiredCircle, expressly and irrevocably waive the right to assert, participate in, or receive money or any other relief from any class, collective, or representative proceeding and will only submit such party’s own individual claims and will not seek to represent the interests of any other party.

5. Confidentiality Obligations

  • The Receiving Party acknowledges that all information shared by InspiredCircle, including but not limited to, content, Post, buy-in or participation costs, FAQs, and running methods is proprietary confidential information owned by InspiredCircle is to remain strictly confidential and shall not be disclosed in any manner or form however, that Receiving Party may disclose, in confidence, on a need-to-know basis, the terms to their attorneys, accountants, financial institutions, directors, managers, agents, officers, employees, insurers, and as otherwise required by law.

  • Receiving Party agrees that the Confidential Information is valuable to InspiredCircle and agrees to keep confidential, and not directly or indirectly divulge or communicate or otherwise disclose the Confidential Information, in whole or part, to any third party.

6. Post Campaign Marketing

  • A drop-off of followers post campaign is normal and expected. To enhance the effectiveness of the campaign we encourage you to prepare a comprehensive content strategy for prior and post campaign. There is a correlation between drop-off rate and content quality.

  • InspiredCircle makes no promise regarding post-campaign conversion rates or sales.

7. No Guarantee of Results

  • The Receiving Party acknowledges that: (a) InspiredCircle makes no prediction, promise or guarantee of actual gain results of this campaign; (b) any case study, forecast results, or demographic projections are estimates based purely on prior giveaway results and comparisons and should not be relied upon as a guarantee of the actual performance of this campaign.

  • The Receiving Party acknowledges that there are many factors that can affect the performance of the campaign and there is no exact science that can predict campaign results.

8. General Terms

If the scope of any of the provisions of the Agreement is too broad in any respect whatsoever to permit enforcement to its full extent, then such provisions shall be enforced to the maximum extent permitted by law, and the parties hereto consent and agree that such scope may be judicially modified accordingly and that the whole of such provisions of this Agreement shall not thereby fail, but that the scope of such provisions shall be curtailed only to the extent necessary to conform to law. Upon expiration or termination of this Agreement, all provisions that logically ought to survive termination of this Agreement (including but not limited to warranties, indemnities, confidentiality, etc.) shall survive. This Agreement may not be assigned by either party without the prior written consent of the other, and any such purported assignment shall be void. The invalidity or unenforceability of any provision of this Agreement shall not affect the validity or enforceability of any other provision. Any invalid or unenforceable provision shall be deemed severed from this Agreement to the extent of its invalidity or unenforceability, and this Agreement shall be construed and enforced as if the Agreement did not contain that particular provision to the extent of it invalidity or unenforceability. This Agreement is made in Illinois and shall be construed and interpreted in accordance with the law of Illinois, applicable to contracts made and to be performed entirely therein. This document is a complete and exclusive statement of the terms of this agreement and may not be changed orally but only by writing signed by both parties.
